"He was found peacefully asleep in his New York apartment by his US housekeeper," Kim Ledger said, reading from a prepared statement.
Ledger was sick with pneumonia when he died, according to reports.
Ledger's family has also been told by police that the actor's death was not suicide, entertainment website TMZ reports.
The website claims a representative from Ledger's family contacted them to deny reports that the actor had killed himself.
The 28-year-old actor's body was found at a residence in Broome St, SoHo, by a housekeeper and a masseuse at 3.31pm local time (7.31am AEDT).
A New York Medical Examiner has attended the apartment where Ledger was found. His body was removed from the building on a stretcher in a black body bag.
The housekeeper and masseuse reportedly found Ledger naked and unconscious on a bed, with prescription and non-prescription pills strewn on a night table next to him.
Bottles of the anti-anxiety drugs Diazempam and Alprazolam were reportedly found at the apartment.
Paramedics who attended the scene found the actor in full cardiac arrest, and unsuccessfully attempted to perform CPR. He was pronounced dead at the scene.
Police said they did not suspect foul play, but could not say whether the death was accidental or deliberate.
The New York Times initially reported that the apartment belonged to actress Mary-Kate Olsen. But Olsen's representatives have since denied this.
"She does not own the apartment. She has never owned the apartment. She and her sister have an apartment in New York City but they are not in this building," the representative said.
